SUMMARY
The Senior Manager – M&A-Finance is responsible for providing support to the Senior Director of M&A-Finance, VP Global Accounting and Reporting, Chief Financial Officer and other senior executives when they are working on mergers and acquisitions, including due diligence. This role supervises an analyst. Other special projects as assigned.

 

RESPONSIBILITIES

  • Assist in the preparation of the detailed financial business plan, including the forecasted revenue and expense budgets (with input of the respective business leaders).
  • Build financial models which are representative of detailed financial business plan. Utilize company-provided financial information and market research to develop appropriate assumptions used in such modeling as well as justify conclusions on purchase price ranges and other key metrics.
  • Provide relevant commentary on business plan presentations, draft letters of intent, purchase agreements and related disclosure schedules and other documents, including but not limited to the funds flow statement.
  • Assist in the post-closing activities, including but not limited to, integration, the external valuation and preparation of the Buyer’s Statement.
  • Assist in the preparation of the pre-acquisition order base to be loaded into Oracle in accordance with ASC 606 with the applicable segments required for financial reporting.
  • Develop a comprehensive budget with input from the business leaders in accordance with the overall business plan.
  • Assist Sales and other business leaders in analyzing historical ACV and revenue trends and determining appropriate top-line targets. Also assist in the calculation of post-closing sales, revenue, and ACV quarterly goals.
  • Assist in additional due diligence procedures as determined to be required and prudent in the circumstances. 
  • Have a keen insight into the operations of businesses and have knowledge to identify areas of risk or potential concern, including but not limited to issues which may impact purchase price, future business performance and integration.
  • Organize financial data into an understandable format so that important trends can be distinguished. 
  • Collect and analyze data related to products, markets, customers, competitors, geographies, pricing, sales, etc.; assess trends and highlight competitive gaps.
  • Prepare the detailed financial business plan. Assist in the development of business unit plans and margin structures for the annual operating plan and quarterly forecast.
  • Support data analysis requests from the business units to provide customer data, sales performance, market statistics, competitor performance and financial understanding.
  • Supervise and develop staff as they may be assigned.
  • Work on special projects and other duties as assigned.


MINIMUM QUALIFICATIONS

  • Bachelor’s Degree in Business, Finance, Accounting, or related discipline.
  • 10+ years of financial analysis experience.
  • PC Proficiency in Microsoft applications; MS Office Suite (Word, Excel, PowerPoint), Reporting & Analysis Tools.
  • Excellent interpersonal, oral, and written communication skills.
  • Ability to work independently while still meeting project deadlines and commitments.
  • Ability to drive projects to completion in a complex, deadline driven environment.
  • Ability to interface across various levels (analysts, managers, directors, executives), within multiple business units, both domestic and international.
  • Ability to interface with potential targets and work with a multidisciplinary team in due diligence efforts.


PREFERRED QUALIFICATIONS

  • Experience in mergers & acquisitions preferred.
  • Advanced degree such as MBA preferred.
  • Independent thinking and problem-solving skills.
  • Established analytical skill set with a proven history of forecasting, analysis and financial reporting.
  • Strong written and verbal communication skills.
  • Proven ability to effectively handle multiple projects concurrently.
  • Detail oriented.
  • Highly motivated.
  • Understanding of software or other technology industry as a business. Public company experience preferred.
  • Strong project management and analytical skills.
  • Ability to prepare and make presentations or recommendations to more senior managers.
