Corporate Counsel (Global)- Data Privacy

The Corporate Counsel: Data Privacy will be responsible for negotiating, drafting, and performing day-to-day activities supporting both the data privacy and retention programs, including: (I) drafting and negotiating Data Processing Agreements (DPAs) and other data privacy or retention related clauses and documents; (iii) developing and managing the Transfer Impact Assessment (TIA) process; (iv) developing a comprehensive data privacy handbook; (v) monitoring internal laws for data privacy measures and changes; and (vi) having an overall integral role in general program roadmap initiatives.  The ideal candidate is comfortable working collaboratively within cross-functional and global teams; completing projects with limited resources; developing and fostering strong cross-functional relationships; being responsive and prioritizing properly; continuously learning in areas such as data privacy, retention, and technology; and navigating various assignments, and goals, while delivering timely progress and results.  

 

Responsibilities

  • Conducts day-to-day data privacy activities, including negotiating agreements (including DPAs, intercompany agreements, DSAR response, and similar documents), performing TIAs (including documenting mitigation measures), issue-spotting, preparing summary documents for impact assessments, fielding/addressing data privacy related questions or concerns, and escalating such concerns as needed.
  • Obtains and maintains drafting knowledge of data privacy and retention provisions in contracts and of other privacy-related documents.
  • Drafts and negotiates data privacy and retention provisions of DPAs and related data privacy documents, with authority to make decisions.
  • Monitors changes in law or regulations, trends, discussions, and best practices related to data privacy or retention, and communicates internally.
  • Oversees and executes the updating of historic DPAs to meet new regulatory requirements, including performing TIAs.
  • Identifies potential risks, escalates concerns related to data privacy or retention issues as appropriate, and assists in developing risk mitigation plans.
  • Assists in the mitigation of retention issues raised during business reviews.
  • Addresses data privacy and retention inquiries from the Ansys business teams, leveraging past responses to create consistent guidance within a team repository.
  • Conducts legal, regulatory, and business-related research on data privacy or retention issues to be handled in-house.
  • Assists in the creation of data privacy and retention collateral for internal stakeholders.
  • Assists in the redesign and implementation of an updated DPA repository and TIA process.
  • Creates documentation that supports existing and new privacy team processes, including DPA checklists, DPA and TIA process flows, retention guidance, Privacy Handbook, presentations, and other SOPs.
  • Corresponds with outside counsel on limited data privacy or retention issues.
  • Creates and maintains data privacy and retention collateral such as SharePoint sites, Yammer groups, internal articles, Clean & Green week information, and video demos.
  • Supports the development, coordination, and execution of training and awareness programs for data privacy and retention initiatives.
  • Participates in the planning, execution and monitoring of various program roadmap initiatives in addition to day-to-day responsibilities.
  • Understands data privacy, retention, data protection concepts and regulations to conduct reviews and assessments or to provide guidance to business teams relating to their data privacy and retention issues.

 

Minimum Qualifications:

  • Juris Doctorate Degree from a nationally accredited law school; admitted to a regional bar.
  • 1+ plus years of experience practicing as a commercial or corporate attorney at a law firm
  • Minimum 1+ years of related experience in negotiating contracts, agreements and related clauses
  • Demonstrates both collaborative skills and ability to work well within a team, while completing tasks and projects autonomously if necessary
  • Strong communication skills (oral and written), with both legal and non-legal professionals and comfort working in a role requiring utmost discretion and confidentiality
  • Organizational strength – ability to manage and prioritize multiple complex projects simultaneously
  • Ability to work in a fast-paced, developing, and deadline-oriented environment
  • Self-motivated with critical attention to detail and deadlines
  • Is flexible and adaptable – demonstrated ability to work diplomatically and tactfully with others
